Terms of Service

1. Acceptance of Terms

By creating an account, clicking "Get Started", signing in with Google or Microsoft, or otherwise accessing the Service, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy, which is incorporated herein by reference.

2. Eligibility

You must be:

• At least 13 years of age (or the minimum age of digital consent in your jurisdiction).
• Able to form a legally binding contract under applicable law.
• Not prohibited from using the Service under any law of India or your home country.

If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Your Account

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete information during registration and keep it up to date.
• You are solely responsible for all activity that occurs under your account.
• Notify us immediately at support@grabnear.com if you suspect unauthorised access to your account.
• You may not create multiple accounts to circumvent usage limits or bans.
• Account credentials are personal and non-transferable.

4. Acceptable Use

GrabNear is a business discovery and lead management platform. You agree to use it only for lawful purposes, including:

• Researching local businesses for legitimate commercial or professional purposes.
• Exporting and managing business leads for your own sales or outreach activities.
• Using AI-generated insights to inform your business decisions.

You agree to comply with all applicable local, national, and international laws and regulations when using the Service, including laws relating to data protection, anti-spam, and electronic communications.

5. Prohibited Activities

You must not, and must not attempt to:

• Scrape or harvest data at scale using automated bots, crawlers, or scripts that exceed normal usage patterns.
• Resell or redistribute data obtained through the Service without our express written consent.
• Reverse engineer the Service, decompile, or attempt to extract source code.
• Circumvent security measures, including rate limits, authentication, or subscription quotas.
• Misuse business contact data for spam, unsolicited mass marketing, or harassment of businesses.
• Impersonate another person or organisation, or misrepresent your affiliation.
• Interfere with or disrupt the Service's infrastructure, servers, or networks.
• Use the Service for illegal purposes, including fraud, money laundering, or violation of privacy laws.
• Share your account with others or create accounts on behalf of others without authorisation.
• Upload or transmit malware, viruses, or any code designed to harm the Service or other users.

Violation of these prohibitions may result in immediate account suspension or termination without notice and may expose you to legal liability.

6. Subscriptions & Payments

• Free Plan — includes limited searches per month at no cost. No credit card required.
• Paid Plans — billed monthly or as a one-time purchase, as described on the Pricing page.
• Payment processing is handled by Razorpay. By subscribing, you agree to Razorpay's terms and authorise recurring charges.
• Refunds — we offer refunds within 7 days of purchase if the Service has not been meaningfully used. Contact support@grabnear.com to request a refund.
• Plan limits — search quotas reset monthly. Unused searches do not roll over.
• Price changes — we reserve the right to change pricing with 30 days' advance notice. Continued use after the notice period constitutes acceptance.
• Taxes — prices may be subject to applicable taxes (e.g., GST in India). Tax amounts will be shown before payment.

7. Intellectual Property

All content, software, branding, logos, and design elements of the Service are owned by GrabNear or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose.

Business data returned by the Service originates from the Google Places API and is subject to Google's terms of use. You may use this data for personal or internal business purposes but may not re-publish, sell, or create derivative databases from it.

You retain ownership of any content you create within the Service (such as notes and lead statuses), and by using the Service you grant us a limited licence to store and display that content solely to provide the Service to you.

8. Third-Party Services

The Service integrates with third-party platforms including Google Places API, Supabase, Razorpay, and optionally WhatsApp Business API. Use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party providers.

Links to external websites are provided for convenience and do not constitute an endorsement. We are not liable for the content or availability of third-party sites.

9. Account Termination

9.1 Termination by You

You may delete your account at any time by contacting support@grabnear.com. Deletion is permanent and we cannot recover your data after this. Paid subscriptions are not automatically refunded upon voluntary termination.

9.2 Termination by Us

We reserve the right to suspend or permanently terminate your account, with or without notice, if:

• You violate these Terms or our Acceptable Use Policy.
• You engage in fraudulent, abusive, or illegal activity.
• We are required to do so by law or court order.
• Your account has been inactive for more than 12 consecutive months on a Free plan.

9.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will do so, including Sections 7, 10, 11, 12, and 13.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure.
• Business data sourced from Google Places is accurate, complete, or current.
• AI-generated insights are factually correct or suitable for any specific purpose.
• The Service will meet your particular requirements.

You use the Service at your own risk. Any business decisions made based on data or insights from the Service are solely your responsibility.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GRABNEAR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR ₹500 (FIVE HUNDRED INDIAN RUPEES), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability will be limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to indemnify, defend, and hold harmless GrabNear and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service in violation of these Terms.
• Your violation of any applicable law or third-party right.
• Any content you submit, post, or transmit through the Service.

13. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in India.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

14. Changes to These Terms

We may revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered users by email at least 14 days before changes take effect. Your continued use of the Service after that date constitutes acceptance of the revised Terms.
